Terms & Conditions of Sale

Bailey Instruments Ltd (“COMPANY”)

“CUSTOMER” is defined as the person, department, firm, company, or organisation who receives the COMPANY’S goods, or to whom the COMPANY’S quotation, invoice, or acknowledgement of order is addressed.
“GOODS” means the products or services supplied by the COMPANY to the CUSTOMER.


1. Agreement

The placing of an order with the COMPANY constitutes full acceptance of these terms, unless otherwise agreed in writing. All GOODS supplied are subject to these terms.


2. Price and Delivery Charges

  • Prices are shown exclusive of VAT, which will be charged at the statutory rate at the time of order.

  • While every effort is made to keep prices current, the COMPANY reserves the right to change prices without prior notice if circumstances beyond our control require it.

  • Delivery charges:

    • Orders under £89.00 ex.vat (UK Mainland only) are subject to a £5.99 + VAT delivery charge.

    • Deliveries outside UK Mainland are charged at cost.

    • Carriage on equipment purchases may be charged at cost (confirmed at the point of order or enquiry).

    • Courier deliveries may require a signature upon receipt.

  • Next-day delivery and special requests can be arranged at additional cost (subject to availability).


3. Quotations

Quotations are issued without commitment. No contract exists until the COMPANY has accepted the CUSTOMER’S order in writing.

  • Quotations remain valid for the period stated (normally not less than 30 days).

  • Prices may be altered, or quotations withdrawn, prior to expiry.

  • Stock levels are subject to change and may fluctuate during the quotation period.


4. Payment Terms

  • Unless otherwise agreed, full payment is required at the time of order.

  • First orders from new customers require upfront payment.

  • Account holders must settle invoices within 30 days net.

  • The COMPANY reserves the right to:

    • Suspend credit facilities,

    • Charge statutory interest on overdue balances under the Late Payment of Commercial Debts (Interest) Act 1998, and suspend further supply until payment is received.


5. Guarantee

  • All GOODS manufactured by the COMPANY are guaranteed against faulty manufacture and materials (excluding fair wear and tear).

  • Springs will be supplied for self-assembly free of charge on request.

  • After inspection, faulty instruments (not damaged through misuse, poor care/storage, modification, or lack of maintenance) will be repaired or replaced.

  • All equipment and products distributed (not manufactured) by the COMPANY are covered by the manufacturer’s warranty unless otherwise stated.

  • Exclusion: single-use susol™ instruments are not covered by warranty.

Returns for inspection:

  • Instruments must be returned clean and sterilised with proof of sterilisation.

  • Non-compliance may incur a sterilisation charge.

  • Returned goods are at the CUSTOMER’S risk; the COMPANY accepts no liability for loss or damage in transit.

  • The COMPANY accepts no liability for damage or injury caused by misuse.


6. Dispatch

  • Orders received before 2.30pm are dispatched the same day (subject to stock).

  • Standard delivery is within 3 working days.

  • For non-stock items, the COMPANY will advise an estimated delivery time.

  • The COMPANY cannot accept responsibility for late or failed deliveries outside its control.

  • Any non-delivery, short delivery, or damage in transit must be reported within 7 working days of invoice date. Damage should be noted on delivery documentation.


7. Returns

  • Returns for credit or exchange require prior agreement.

  • The following details must be provided: account number, invoice/document number, product code, and serial/batch number (if applicable).

  • Returns not due to COMPANY fault incur a 15% handling charge (minimum).

  • Imperfect goods will be repaired, replaced, or credited at the COMPANY’S discretion. A cover letter stating the defect must accompany returns.

  • Custom-manufactured goods cannot be returned if supplied correctly.

  • Goods must be returned within 21 days of order date, in reasonable condition, and sterilised where applicable.


8. Custom Manufacture

Custom orders require a signed Instrument Approval Form. These are manufactured to the CUSTOMER’S specifications. Payment terms are agreed in writing at the time of order/quotation.


9. Risk and Force Majeure

  • Risk in GOODS passes to the CUSTOMER upon delivery.

  • The COMPANY is not liable for loss or damage arising from events beyond its control, including (but not limited to): war, civil unrest, natural disasters, industrial action, or supply chain interruptions.


10. Product Specification

The COMPANY and its suppliers continually review product development in line with ISO13485 and MDD 93/42/EEC. The COMPANY reserves the right to alter or discontinue products without prior notice.


11. Order Cancellation

  • Non-stock and custom-manufactured orders cannot be cancelled once placed.

  • Cancellation or amendment of other orders must be agreed in writing and may incur a 25% cancellation fee (minimum).

  • The COMPANY may terminate any order if:

    • The CUSTOMER breaches these terms or attempts cancellation, or

    • The CUSTOMER is insolvent under Section 123 of the Insolvency Act 1986 (or any successor legislation).


12. Reservation of Title

GOODS remain the property of the COMPANY until payment is received in full.


13. Privacy & Data Protection

The COMPANY is committed to protecting customer data.

  • We do not sell or share your information with third parties for marketing purposes.

  • Data is used solely for order processing, account management, and essential communication.

14. Governing Law

These terms take precedence over any issued by the CUSTOMER. Staff representations do not form part of the contract.
The contract is governed by the laws of England and Wales, and the CUSTOMER submits to the jurisdiction of the courts of England and Wales.
