1. Conditions

The placing of an order with Bailey Instruments Ltd shall constitute unqualified acceptance of the terms and conditions set out below unless otherwise agreed in writing. All goods supplied by Bailey Instruments Ltd are subject to these terms. Where any disputes or conflicts arise with customer’s own conditions and warranties Bailey Instruments Ltd terms will prevail unless agreed in writing in advance by a Director.

2. Prices

All prices shown and quoted are exclusive of VAT, (Value Added Tax) which is charged at statutory rate at time of order despatch. Every effort is made to keep prices up to date, however, Bailey Instruments Ltd reserves the right to change prices without prior notification should variations take place that are beyond our control.

All quotations given are without commitment and do not constitute a binding contract of supply. Contract of supply will only be applicable on receipt and acceptance of a customers purchase order received in writing. All quotations will remain valid for the period as stated in writing on the actual quotation (Default 30 days unless otherwise agreed by a Director of Bailey Instruments Ltd). Bailey Instruments Ltd reserves the right to alter prices or withdraw from a quotation before the quotation reaches the maturity date. All stock holding positions are given at the time the quotation is submitted and are liable to fluctuation. Prices may be subject to alteration without previous notice and will be charged at the price ruling at the date of order.

3. Delivery

Bailey Instruments Ltd aims to despatch all orders received prior to 3pm Monday – Friday on the same day by either first class post or by appointed courier service provider subject to stock availability. Orders received after 3pm Monday to Friday will be despatched on the next working day subject to stock availability. Bailey Instruments Ltd takes no responsibility for non-arrival, short delivery or damage of goods unless notified within 5 days of receipt of invoice, and/or date of placing of orders. Bailey Instruments may deliver goods in instalments subject to stock availability. All parcels sent by nominated and approved courier will require signature on delivery for security and traceability purposes. The customer is required to examine all goods received and notify Bailey Instruments Ltd within 72 hours of any apparent damage, defect or shortages.

4. Delivery Charges

All orders under £100.00net are subject to a minimum order charge of £3.95 + VAT (UK Mainland Only). All deliveries made outside of UK mainland are charged at cost. *Our Single Use range of instruments (susol™) are subject to separate carriage charges and arrangements TBC at point of order enquiry/order receipt. Carriage charges will be applied to all ‘Capital Equipment’ orders at cost; all such costs will be confirmed prior to order despatch. Bailey Instruments Ltd reserves the right to adjust these figures without prior notice if necessary. Timed deliveries and special requests can be arranged at an additional cost.

5. Payment Terms

Unless otherwise agreed with the buyer at the time of purchase all payments are required in full at time of placing of orders. New customer accounts will always be required to pay with first order or by way of pro-forma invoice. Where credit has been approved all credit account holders are required to settle their account in full within 30 days net. Bailey Instruments Ltd reserves the right to suspend credit facilities and to charge interest at 6% above Bank of England base rate per annum on outstanding balances in accordance with ‘Late payments of Commercial Debts (Interest) Act 1998’ and suspend further supply. Credit terms are agreed at the discretion of Bailey Instruments Ltd and may be withdrawn by the company at any time.

6. Title and Risk

All goods shall be at the risk of the customer from time of delivery to the customer. Title of the goods shall only pass to the customer once payment has been received in full including the price of the goods and all other sums owed by the customer.

7. Returns

Goods being returned for repair, credit or exchange will not be accepted without prior agreement. All returns must state: customer account, proof of purchase, product code and serial numbers where applicable. Any goods returned through no fault of Bailey Instruments Ltd will incur a re-stocking and handling charge of 15% of original value. Products not meeting specifications will be replaced, repaired or credited to the customer at our discretion. Bailey Instruments will endeavour to handle all such matters within 7 working days from receipt.

8. Warranty.

All products manufactured by Bailey Instruments Ltd are guaranteed against faulty manufacture and materials. This guarantee does not cover fair wear and tear. Springs will be supplied for self assembly free of charge on request. After inspection Bailey Instruments Ltd will replace or repair instruments which are found to be faulty but not as a result of misuse, improper care or storage, abuse, lack of maintenance and have not been modified (i.e. not etched or marked in anyway). Any goods returned to Bailey Instruments Ltd are done so at the customers own risk, Bailey Instruments Ltd will not be liable for non-deliveries of such goods. Any used instruments or medical devices should be returned clean and sterilised and supplied with certification of sterilisation in accordance with Heath & Safety regulations and the current legislation. Bailey Instruments Ltd reserves the right to charge for sterilisation where this procedure has not been adhered to. Bailey Instruments Ltd is not liable for damage or injury caused by misuse of an instrument. All equipment and product distributed by Bailey Instruments on behalf of third party manufacturers are protected by manufacturers warranty for a period of 12 month from purchase unless otherwise stated. Details of supplier warranties is available of request. Warranty not applicable to single use instruments branded susol™ beyond faulty manufacture or materials.

9. Supplier Delivery

Specific terms will be referred to in a Supply Agreement where appropriate. Failure to conform or achieve specified lead times or agreed supply schedules against forward orders and forecasts will require the supplier to pay for any means of addressing this via airfreight or additional manufacturing resources or capacity.

10. Custom Manufacture

A custom manufactured order is when a customer places an agreed order where “an instrument approval form” or “supply agreement” has been signed. This order is then specifically manufactured for the customer as per the customer’s requirements. Bailey Instruments endeavours to meet delivery estimates but cannot accept any liability if it fails to do so due to circumstances beyond our direct control. Payment Custom manufactured orders are required to be paid for within 14 days of delivery unless otherwise agreed in writing by a company Director. .

11. Order Cancellation

No cancellation will be accepted on non-stock items specifically ordered on the customer’s behalf, these include custom manufacture and products manufactured against forecasts covered by supply agreements. The company is under no obligation to accept cancellation or amendment to any order or part thereof. Any cancellation of order or amendment must be in writing and will only be accepted with our prior agreement and on the understanding that a cancellation or amendment charge will be levied at a minimum of 25 % of the purchase price. In the case of products manufactured against forecast and covered by a duly signed supply agreements, 90 days notice is required on or after expiry of any supply agreement. 25% - 100% payment will be required in full against any forecasted stock in production or in holding as specified in such agreements at the discretion of Bailey Instruments Ltd and will be specified in the body of the contractual agreement separately.

12. Force Majeure

The company cannot be held liable for loss or damage caused by circumstances beyond the company’s control. This includes war, civil disobedience, Act of God, industrial disputes and interruption to the supply of materials. The company reserves the right to cancel the contract without liability for loss or damage. In addition to our general terms and conditions, these terms of trade will take precedence over any issued by the customer. Customers should not rely on any representations by staff as they do not form part of the contract or collateral contract. The contract shall be governed and construed according to the law and the purchaser submits to the jurisdiction of the court.

13. Product specification and development

Product development and improvement are under continual review by Bailey Instruments Ltd. Bailey Instruments ltd reserves the right to make alterations, improvements and to discontinue products featured on this website without prior notice.

14. Reservation of title

In the event of the buyer becoming insolvent or unable to pay for the products supplied, the products shall remain the property of Bailey Instruments Ltd until payment has been received in full.

15. Privacy policy

We do not share any information about customers with any other organisations. If you do not wish to get periodic mailings from us please let us know so we can remove you from our mailing list.

16. Data protection.

When you place your order or open an account with us, we will need to have a few details such as your name, email address, credit or debit card number and expiry date. This enables us to process and fulfil your order and to notify you of your order status. We may occasionally use this information to contact you with offers that may be of interest, however should you wish to be removed from our mailings lists then please contact us on 0161 872 8707. At no point is your information shared or provided to any third parties or none Bailey Instruments Ltd employees.
